Terms of Service
These Terms are an agreement between OpsAlo Pty Ltd ("OpsAlo", "we", "us") and you, the person or business using OpsAlo. They cover the OpsAlo web app at app.opsalo.com, the OpsAlo iPhone app, and anything else we provide under the OpsAlo name (together, the "Service").
1.Accepting these Terms
By creating an account, accepting an invite or using the Service, you agree to these Terms and to our Privacy Policy. If you sign up for a venue or business, you confirm you are allowed to agree on its behalf, and "you" includes that business.
If you don't agree, don't use the Service.
2.What OpsAlo is
OpsAlo is an operations tool for hospitality venues. It includes:
- an AI assistant that answers questions from your venue's documents and data, and can draft and propose actions;
- tasks, documents, training and quizzes;
- team chats;
- end of day check-ins, nightly numbers and weekly reports;
- invoices and cost of goods;
- rosters, through Deputy;
- connections to other services such as Xero, Square and OrderMate.
We keep improving OpsAlo, so features may be added, changed or removed. If we remove something important you rely on, we'll try to tell you in advance.
3.Accounts and access
- Who can join. OpsAlo is a workplace tool. You need to be at least 16 to use it.
- Invites. An owner or manager invites people to a venue. Access levels are Owner, Manager and Team member, plus a job position such as Head Chef or Bar Manager, which can unlock things like invoices.
- Your login. Keep your login details private. You are responsible for what happens under your account.
- People you invite. Owners and managers are responsible for who they invite and what access they give them. They are also responsible for removing people who leave.
- Telling us. Tell us straight away at hello@opsalo.com if you think someone has got into your account.
4.Your data
- You own it. Everything you or your team put into OpsAlo stays yours. That includes documents, menus, messages, invoices, sales figures, rosters, reports and photos.
- What you let us do with it. You give us permission to store, process and display it only to run the Service for you. This includes sending the relevant parts to the service providers listed in our Privacy Policy. For example, the AI assistant sends your question and the relevant venue information to our AI provider to get an answer. We don't sell your data.
- AI training. We don't use your venue's data to train AI models, and we use AI providers whose business terms say they don't train on it either.
- Your responsibilities. You must have the right to put the information into OpsAlo. You must also give any notices, and get any consents, your staff, suppliers or guests are entitled to. For example, tell your staff that rosters, check-ins and their messages in team chats are stored in OpsAlo.
- Reports sent outside OpsAlo. Nightly and weekly reports can be emailed to people who don't use OpsAlo. You choose who gets them and are responsible for that list.
- Connected services. If you connect Deputy, Xero, Square, OrderMate or another service, you authorise us to read and, where the feature needs it, write data in that service for you. Those services have their own terms, and we aren't responsible for them.
5.The AI assistant
OpsAlo's AI is helpful but can be wrong.
- Check before you act. Check anything important before relying on it, especially figures, allergens, prices, pay and legal matters.
- You approve changes. Actions the AI proposes, such as creating a shift, publishing a roster, changing a task or editing a menu, are only carried out when a person with the right access approves them or asks for them. You are responsible for actions you approve.
- Not professional advice. The AI is not legal, financial, tax, medical or food safety advice. It is not a replacement for your own systems for allergens and food safety.
6.Acceptable use
You agree not to:
- use OpsAlo for anything illegal, or to harass, discriminate against or harm anyone;
- try to access another venue's data or anything you haven't been given access to;
- try to break, overload, copy or reverse engineer the Service;
- upload malware, or content you don't have the right to use;
- use OpsAlo to send spam;
- use OpsAlo to build a competing product.
We may remove content or suspend access that breaks these rules.
7.Team chats and content from your team
Messages, photos and files shared in OpsAlo are visible to the people they are shared with. Owners and managers can manage venue groups. Each person is responsible for what they post. Venues should set their own workplace rules for using team chats.
8.The iPhone app
The iPhone app is provided through Apple's App Store, and Apple's terms also apply to your download. Apple isn't responsible for OpsAlo or its support. Push notifications can be turned off in your device settings.
9.Fees
Fees, billing periods and trial or pilot terms are set out in your order form or plan. If you are on a free pilot, we'll give you at least 30 days' notice before any charges start. Fees don't include taxes, which are added where required. Unpaid amounts may lead to suspension after notice.
10.Availability and support
We work to keep OpsAlo available and secure, but we can't promise it will always be uninterrupted or error-free. We may do planned maintenance and will try to keep it outside busy service hours. For help, contact hello@opsalo.com.
11.Security
We use reasonable security measures to protect your data, as described in our Privacy Policy. These include encryption in transit and at rest, and access controls that keep each venue's data separate. No system is completely secure. If we become aware of a data breach affecting your information, we'll tell you as required by law.
12.Liability
Nothing in these Terms limits rights you have under the Australian Consumer Law that can't be excluded.
To the extent the law allows:
- No implied promises. The Service is provided without warranties other than those in these Terms.
- No indirect loss. We aren't liable for indirect or consequential loss, lost profits or lost revenue.
- The cap. Our total liability to you for any claims is limited to the fees you paid us in the 12 months before the claim. If you paid nothing, it is limited to AUD $100.
13.Indemnity
You agree to cover our reasonable costs from claims by third parties caused by:
- your breach of these Terms;
- your unlawful use of the Service;
- data you put into OpsAlo without the right to do so, including your staff's or guests' personal information.
14.Ending your use
- You can stop using OpsAlo at any time. An owner can delete a venue, and anyone can delete their account in Settings.
- We can suspend or end access if you seriously breach these Terms, don't pay, or put the Service or other users at risk. Where reasonable, we'll give you notice first.
- Your data afterwards. When an account or venue ends, we delete its data as described in our Privacy Policy, unless the law requires us to keep it. You can ask for a copy of your venue's data before then.
15.Changes and general terms
- Changes. We may update these Terms. If a change is significant, we'll tell you in the app or by email before it takes effect. Continuing to use OpsAlo after that means you accept the new Terms.
- Governing law. These Terms are governed by the laws of New South Wales, Australia. The courts there have jurisdiction.
- Invalid parts. If part of these Terms is found unenforceable, the rest still applies.
- No waiver. Not enforcing a right straight away doesn't mean we give it up.
